An Intellectual Property Assignment Agreement transfers the ownership of certain intellectual property (IP) from one party (the assignor) to another party (the assignee). Before transferring ownership, both parties should make sure that they understand the nature and the value of the IP being transferred.
The assignee may also require certain representations and warranties about the IP, such as non-infringement clauses. It’s always best to square off all the terms, before proceeding with a transaction that may have long term consequences.
